During the Annual Meeting of the Homeowners last year, the Board communicated the need to amend and restate the following documents that govern the HOA.  

 

  1. DECLARATION OF RESTRICTIONS 

  2. ARTICLES OF INCORPORATION

  3. BY-LAWS 

 

Much of the content in the documents has been in place since our neighborhood was still under construction over 30 years ago and is not representative of an established community.  The Board proposed changes to amend and restate the documents and presented the changes for a vote during the meeting.  Since homeowners raised concerns about the proposed changes during and after that meeting, the Board postponed the vote and invited concerned homeowners to assist the By-Laws Committee in performing a further review of the documents.

 

Based on that review, the By-Laws Committee has developed proposed revisions to the documents that we believe address the concerns of the homeowners, refresh the content to be representative of an established community, and ensure compliance with the City of Temple Terrace and State of Florida Statutes.  

 

The next step is for each homeowner to review the proposed revisions and submit any feedback/comments/concerns you have about the revisions to the By-Laws Committee for review and consideration.  

 

Please follow these steps to provide your feedback. Your response is needed no later than 10/15/2020 

 

  1. Log into the HOA’s website https://www.francesarborhoa.com/  

 

On the site you will find TWO SETS of documents for review. 

  1. PROPOSED CHANGES - Identifies all changes from the original documents as follows.  

  • Content in red font and underlined indicates verbiage added to the document.

  • Content in red font and crossed through indicates verbiage deleted from the document.

  1. CLEAN VERSIONS - Provides a clean version with all changes accepted so it's easier to read and review.

  1. Review the proposed revisions.  A high-level summary of the revisions is attached to this letter to assist in your review.

  2. Submit your feedback/comments/concerns to the By-Laws Committee using the HOA email address: Francesarborvillahoa@gmail.com

  3. Respond no later than 10/15/2020  

 

The By-Laws Committee will review the feedback submitted by all homeowners and make any final revisions to the documents.  We'll then send a printed copy of the final proposed documents to each homeowner along with a proxy for you to sign indicating whether or not you approve the revised documents.

 

We encourage you to review the documents and provide your feedback. A substantial amount of effort was put into this project with input from over 25 residents and a committee of 6, with the objective of making these bylaws relevant and lasting. If updated properly, they will not need to be changed for 10-15 years or more. When the final hard copies are delivered to your homes, it is imperative that you send back the proxy. As stated, a majority of the homeowner’s approval is needed to then file the bylaws in Tallahassee.

 

 

 

 

Summary of Revisions

 

The following provides a high level overview of the revisions to assist in your review.  But PLEASE carefully review all revisions in the documents.

 

  1. DECLARATION OF RESTRICTIONS

  1. Made minor changes throughout to eliminate unnecessary and/or outdated verbiage and use consistent terms

  2. Added references to City of Temple Terrace and State of Florida Statutes throughout as applicable

  3. Article I (Homeowners Association) - Changed number of board members to not less than five (5) nor more than nine (9); clarified board seats are held for two (2) years on a staggered basis; added verbiage related to the annual homeowners dues (assessments), including collection rights as allowable by law

  4. Article II (Lot Improvements, Usage and Restrictions) - Simplified and/or clarified minimum standards and requirements for improvements to and maintenance of lots, many in accordance with City of Temple Terrace and State of Florida Statutes; simplified and/or clarified requirements for obtaining Board pre-approval before erecting or placing buildings, structures or other improvements on any lot; added restrictions related to leasing lots in accordance with City of Temple Terrace ordinances governing leasing; added verbiage granting the Board authority to resolve situations in which an owner consistently and significantly violates the provisions of the Declaration, including not maintaining his or her lot in accordance with the covenants

  5. Article III (Miscellaneous) - Added verbiage requiring future amendments/changes to the Declaration of Restrictions to be approved by a majority of the homeowners entitled to vote (i.e., annual dues are paid up to date) and to allow votes to be made in person or by proxy

  2. Article V (Board of Directors) - Changed number of board members to not less than five (5) nor more than nine (9); clarified board seats are held for two (2) years; deleted board member names and addresses (outdated)

  3. Article VI (Officers) - Simplified verbiage; deleted Officer names (outdated)

  4. Article IX (Amendments) - Added verbiage requiring future amendments/changes to the Articles to be approved by a majority of the homeowners entitled to vote (i.e., annual dues are paid up to date) and to allow votes to be made in person or by proxy

  5. Articles XI - XIII (Misc) - Deleted or updated names and addresses as needed

 

  1. BY-LAWS

  1. Re-sequenced the Articles; made minor changes throughout to eliminate unnecessary and/or outdated verbiage and use consistent terms

  2. Article III (Membership) - Added and clarified verbiage related to the annual homeowners dues (assessments), including late fees for assessments not paid when due (changed to reflect what is allowable by law)

  3. Article IV (Board of Directors) - Changed number of board members to not less than five (5) nor more than nine (9); added requirement that number of directors must be an odd number; clarified board seats are held for two (2) years on a staggered basis; added requirement that homeowner must be a lot owner for at least one year before running for the Board; eliminated references to the Executive Committee (no longer exists); specified how vacancies on the Board are filled between annual meetings 

  4. Article V (Officers) - Changed the term of office for Officers from one year to two years; eliminated references to the Executive Committee (no longer exists); specified how Officer vacancies are filled between annual meetings 

  5. Article VI (Committees) - Simplified the committee structure by dissolving several committees and allowing the Board to appoint Special Committees as needed 

  6. Article VII (Meetings of Members) - Revised the timing of the annual homeowners meeting; clarified votes required to pass a motion at any meeting; added verbiage to allow votes to be made in person or by proxy 

  7. Article X (Amendments) - Added verbiage requiring future amendments/changes to the By-Laws to be approved by a majority of the homeowners entitled to vote (i.e., annual dues are paid up to date) and to allow votes to be made in person or by proxy.
